Will Kempfer
Will Kempfer is a securities attorney with a diverse legal background that includes working on complex, large-value mergers and acquisitions on behalf of Fortune 500 companies and private equity firms, defending medical malpractice suits, and working as an in-house attorney for a major New York City agency.
Mr. Kempfer’s intimate knowledge of the corporate transactional space helps him navigate the complexities of the securities industry on behalf of investors who have suffered from fraud, SEC whistleblowers, and industry professionals. While at KPMG, Mr. Kempfer worked within the tax division on the Mergers and Acquisitions team in their Midtown office. There he drafted due diligence reports on prospective company acquisitions with respect to totality of assets, valuation, and tax liabilities at the state and federal level based on the form of the proposed transaction. This work required in-depth research of companies that span a diverse range of industries and is essential to identifying issues at companies, brokerage firms and registered investment advisors, including the reporting and advice given by these entities, for the litigation and arbitration space in which Malecki Law operates.
Mr. Kempfer’s litigation journey began at Caitlin Robin & Associates in the Financial District. There he managed a large volume of case files simultaneously, in court, arbitration, depositions, mediations, and negotiating settlements. Mr. Kempfer collaborated with expert witnesses to analyze and digest thousands of pages of documents for each case. Mr. Kempfer has handled litigation matters throughout the New York State court system and has extensive experience negotiating on behalf of clients.
At the Metropolitan Transportation Authority, Mr. Kempfer worked in the tort litigation division where he represented the MTA and NYCTA. There, Mr. Kempfer held statutory hearings, depositions, appeared in court, negotiated settlements, and worked with other departments within the agency to represent the MTA and NYCTA.
Mr. Kempfer is a graduate of University of Connecticut School of Law, where he earned both a J.D. and Tax Law Certificate. The latter culminated in a thesis paper titled ‘The Administrability of Wealth Taxes’, which explored, analyzed, and compared the wealth tax proposals of Senators Warren and Wyden. The paper focused primarily on what implementation of the two wealth tax proposals would look like, how they might actually be integrated into the tax code, and ultimately, which would be easier to implement.
While there, he interned at the University of Connecticut’s Office of General counsel where he researched and drafted memoranda on wide variety of legal issues, notably provided research and suggested language pertaining to the creation of ‘Name, Image, and Likeness’ provisions within a subsequently enacted Connecticut bill, drafted related memoranda which was reviewed by senators in the consideration of the ‘NIM’ bill, and directly contributed finalized language in published university policies.
At UCONN Law, his studies were focused primarily on corporate and tax law, in the latter case being drawn to the statutory complexities and wide-spread ramifications in all industries. His acute attention to detail served him well to not only earn membership to the Law Review but also taken on the role of Executive Editor following his year as an associate member. During his tenure as Executive Editor, he sharpened his leadership, writing, editing, and researching skills to help publish insightful articles by respected legal scholars.
During this time, Mr. Kempfer also was a student clinician at UCONN Law’s low-income tax clinic, where he developed skills in negotiating with large government agencies, namely the IRS while assisting clients who were facing incredibly large sums of back-taxes and associated fees due to circumstances largely out of their control. This experience was pivotal in shaping his sense of justice towards helping those who have found themselves at the mercy of a large entity and felt they had little power and no recourse.
When not practicing law, Will enjoys spending time with his wife and two dogs, an Italian Greyhound mix and an Icelandic Sheepdog, engaging in the arts, whether going out to see live music or composing and recording music of his own, or finding the next best coffee spot in the city. Will is an avid participant and volunteer at his neighborhood’s dog park and works with fellow regulars to maintain and repair the park for everyone to enjoy.
